Terms of Service & License Terms

1. Agreement & Overview

These Terms of Service ("Terms") govern your use of the WooCommerce WhatsApp Revenue Automation (WWA) commercial website, customer portal, software updates, and plugin packages operated by [REQUIRED OWNER DECISION: Set WWA_LEGAL_ENTITY_NAME in environment].

By purchasing a WWA Pro subscription, downloading plugin software, or activating a commercial license key, you agree to be bound by these Terms.

2. Software Licensing & License Grant

WWA is distributed under standard WordPress GPL-compatible licensing for plugin code, combined with commercial access rights to software updates, priority support, and central Licensing REST API services ("WWA Commercial Services").

• License Limit: Each WWA Pro license key authorizes activation on 1 primary production WooCommerce domain (plus local development/staging domains).
• Activation Tokens: Upon key entry, our central Licensing API registers your domain and issues an encrypted activation token.
• Domain Management: You may deactivate a domain from your Customer Portal to transfer your license seat to another domain.

3. Commercial Pricing, Subscriptions & Renewals

WWA Pro is billed on an annual subscription basis. Current authoritative pricing is displayed on our Pricing Page and confirmed during checkout ($99.00 USD / year unless configured otherwise).

• Auto-Renewal: Subscriptions automatically renew annually via Stripe unless canceled prior to the renewal date.
• Cancellation: You may cancel your auto-renewal anytime in My Account → Subscriptions. Cancellation stops future charges. Your active license remains valid until the end of the paid billing period.
• Expired Subscriptions: Upon expiration, installed software continues operating existing workflows, but automatic plugin updates and technical support access will pause.

4. Meta WhatsApp API Requirements & Third-Party Charges

WWA interfaces directly with the official Meta WhatsApp Business Cloud API. You acknowledge and agree that:

• You are solely responsible for creating and maintaining your Meta Business Account, WABA ID, and System User Access Tokens.
• Meta controls WhatsApp message template approvals, business verification, and 24-hour conversation rates. WWA has no control over Meta template rejections or Meta platform policy decisions.
• Per-message or conversation charges levied by Meta are paid directly to Meta via your Meta payment method and are separate from WWA software subscription fees.

5. Refunds

Refund eligibility and request procedures are governed by our Refund & Cancellation Policy.

6. Warranty Disclaimer & Limitation of Liability

WWA software and services are provided "AS IS" without warranty of any kind, express or implied. In no event shall [REQUIRED OWNER DECISION: Set WWA_LEGAL_ENTITY_NAME] be liable for indirect, incidental, or consequential damages resulting from lost sales, WhatsApp phone number bans by Meta, or server execution failures.

7. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of [REQUIRED OWNER DECISION: Set WWA_GOVERNING_LAW in environment], without regard to its conflict of law principles.
